IMPORTANT: PLEASE READ VERY CAREFULLY THESE TERMS AND CONDITIONS BEFORE USING THE SERVICES. SUCH TERMS AND CONDITIONS FORM A LEGALLY BINDING AGREEMENT BETWEEN YOU, THE RECIPIENT AND PAYOR OF THE SERVICES (“YOU” OR “YOUR”), AND GEEK OF STATES — GEEK OF STATES LLC FOR CUSTOMERS IN THE UNITED STATES, AND GEEK OF STATES LTD. FOR CUSTOMERS IN CANADA (“PROVIDER”). EACH OF PROVIDER AND YOU MAY BE REFERRED TO AS A “PARTY” AND COLLECTIVELY AS “PARTIES” UNDER THIS AGREEMENT. IF YOU DO NOT ACCEPT THESE TERMS AND CONDITIONS, CLOSE YOUR BROWSER AND DO NOT PROCEED WITH ORDERING OR USING THE SERVICES.

By accessing or using our website and engaging with our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please refrain from using our website and services.

1. Use of Our Services:

a. Eligibility: You must be at least 18 years old or of the legal age in your jurisdiction to use our website and services. By using our services, you represent and warrant that you meet this eligibility requirement.

b. User Account: To access certain features of our services, you may need to create a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2. Technology, Software and Support Services:

a. Service Request: When you submit a tech support service request, you agree to provide accurate and up-to-date information about the device and the technical issue you are experiencing.

b. Access and Permissions: To provide you with tech support services, you may need to grant us remote access to your computer, electronics, or software. Remote access is used only when it is needed for a specific support request that you have raised, and only after you authorise that session. You may watch the whole session and may disconnect at any time. We do not access your device without your permission, and we will never ask for access outside a support request you started.

c. Service Limitations: While we strive to provide effective tech support services, there may be certain issues beyond our control or expertise. We do not guarantee the resolution of all technical problems, and we may recommend alternative solutions or third-party services when appropriate.

3. AI Services, Output Limitations and Human Review: a. What we build. Our AI work includes chat agents, voice and phone agents, document question-answering and workflow automation, configured against material you supply. b. AI output can be wrong. AI systems generate responses probabilistically and can be incomplete, outdated or incorrect. Output is not legal, medical, financial or other professional advice, and you remain responsible for decisions you take on the basis of it. c. Human review. Where an automated step has real consequences — booking, quoting, sending or recording — we agree with you at design time which steps need human approval, and you may ask for an approval step on any automated action. d. Escalation to a person. Every customer-facing AI system we deploy includes a route to a human. We do not build systems designed to conceal that someone is talking to software. e. Third-party models. AI features may depend on third-party model providers. We will tell you which providers a build relies on before it goes live, and their terms govern the processing they carry out. f. Variation is not a defect. Reasonable variation in AI output is inherent to the technology and is not by itself a failure of the service.

4. Software, SaaS Licences and Subscriptions: a. Genuine licences. Licences and subscriptions we supply are genuine and, wherever the vendor allows it, provisioned to your own tenant or account. The account is yours; we administer it only with your authorisation. b. Vendor terms also apply. Your use of third-party software and SaaS is governed by that vendor’s own licence terms in addition to these Terms. c. Renewals. Subscriptions renew on the cycle stated at purchase, and we will not silently auto-renew something you have asked us to cancel. d. Activation failures. If a licence key we supply fails to activate, we will replace it or refund it. e. What we do not control. We cannot guarantee the availability, pricing or feature set of third-party platforms, and a vendor changing those is not a failure of our service.

5. Web and App Development — Scope, Changes and Ownership: a. Scope and quotes. Project work is quoted against a written scope. Anything outside that scope is a change request and is quoted before it is carried out. b. Change requests. You can change your mind. We will tell you what it costs and what it does to the timeline before we start it, not after. c. Your dependencies. Timelines assume content, access and approvals arrive when agreed; delays on those move the delivery date. d. Ownership on payment. On final payment you own the custom code, designs and content we produced for you. Third-party and open-source components keep their own licences, and we retain the right to reuse generic techniques and tooling that is not specific to you. e. Handover. We provide the credentials, repositories and hosting details needed to run what we built. You are never required to stay with us in order to keep using it. f. After launch. Fixing defects in delivered work is covered as agreed in the project; new features are new work.

6. Intellectual Property:

a. Ownership: All content, materials, and intellectual property displayed on our website, including but not limited to logos, trademarks, graphics, and text, are the exclusive property of Provider.

b. Limited License: You are granted a limited, non-exclusive, and non-transferable license to access and use our website and services for personal and non-commercial purposes. You may not modify, reproduce, distribute, or exploit any content from our website without our prior written consent.

7. Payment and Refunds:

a. Pricing: The prices for our tech support services and products are listed on our website. We reserve the right to modify the pricing at any time, but any changes will not affect ongoing service requests.

b. Payment: Payment for our tech support services and products is due at the time of purchase or as agreed upon in the service contract. We accept various payment methods, including credit cards and online payment gateways.

c. Refunds: As per our refund policy, refunds are governed by our Refund & Returns Policy, which covers cancellation before work starts, pro-rata treatment once work is under way, replacement or refund for a licence key that fails to activate, and what happens if we cannot resolve your issue. Where these Terms and that policy differ, the Refund & Returns Policy applies. For more information, please refer to our Refund Policy.

8. Disclaimer of Warranties:

a. Use of Services “As Is”: Our website and services are provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the reliability, accuracy, or completeness of our services.

b. Limitation of Liability: In no event shall Provider be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of our website or services.

9. Indemnification:

You agree to indemnify and hold harmless Provider, its affiliates, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including attorneys’ fees) arising out of your use of our website and services or any violation of these Terms of Service.

10. Termination:

We reserve the right to suspend or terminate your access to our website and services, with or without cause, at any time and without prior notice.

11. Governing Law and Venue:

Which law applies depends on where you are. If you are located in the United States, these Terms of Service are governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of laws principles, and you and we agree that the state and federal courts sitting in the State of Kansas have exclusive jurisdiction over any dispute arising out of them. If you are located in Canada, these Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, and the courts of the Province of Ontario have exclusive jurisdiction over any dispute arising out of them. Before starting a court proceeding, please raise the matter through our Customer Resolution Portal so that we have a chance to put it right — most issues are resolved there. Nothing in this section removes your right to bring a claim in your local small claims court, or any consumer protection right that the law of your state or province does not permit you to waive.

12. Changes to these Terms:

We may update or modify these Terms of Service from time to time. Any changes will be posted on this page, and the revised effective date will be indicated. Your continued use of our website and services after the posting of changes constitutes your acceptance of such changes.

13. Independent Provider and Third-Party Trademarks: Geek of States is an independent technology company. We are not affiliated with, endorsed by or sponsored by any third-party vendor except where a partnership is stated explicitly and can be verified. Third-party names and marks including Microsoft, Windows, Office, Outlook, Apple, Google, Dell, HP, Lenovo, Canon, Brother, Epson and McAfee are the trademarks of their respective owners, and we use them only to identify the platforms and products we support, licence or procure on your behalf. Where we describe ourselves as a Microsoft Partner, that refers to our listing in the Microsoft partner directory; we do not hold or claim a Microsoft Solutions Partner designation. We do not operate as, and do not hold ourselves out as, any manufacturer’s official support channel, and contacting us is not the same as contacting a vendor’s own support.

14. Digital Marketing and Search Services: a. No guaranteed rankings or results. Search engines, answer engines and advertising platforms control their own ranking and delivery systems. We cannot and do not guarantee any position, impression volume, click-through rate, conversion rate, citation in an AI-generated answer, or revenue outcome — and any provider who does guarantee those is not being straight with you. b. What we do commit to. An agreed scope of work, carried out to a professional standard, reported honestly, with the reasoning explained in plain language. c. Advertising spend. Media budgets are paid by you direct to the platforms. We do not mark up ad spend, and platform pricing is outside our control. d. Platform changes. Search and advertising platforms change ranking systems, ad policies and pricing without notice; performance movement caused by those changes is not a failure of our service. e. Your accounts stay yours. Analytics, advertising and search console properties we create or configure belong to you and remain with you if we stop working together. f. Accuracy of claims. You are responsible for the truth and legality of any claim, offer or price you ask us to publish or advertise on your behalf. g. Cancellation. Monthly programmes may be cancelled as set out in the Refund & Returns Policy.
